Team StructureOur Banking and Real Estate Finance team sits within the London Finance practice group, which consists of 30 fee earners concentrating on Ship Finance, non-contentious Restructuring & Insolvency and Aviation/Rail/Leasing Finance.The Banking and Real Estate Finance team currently comprises 9 partners and 19 other fee earners (16 Associates, 2 Trainees and 1 Solicitor Apprentice).The team deals with a wide range of transactional debt financings, including lender-side and borrower-side real estate finance, leveraged and acquisition finance (usually borrower side and private equity transactions), oil & gas and renewable project financings, some receivables financings, secured and unsecured corporate lending and non-contentious restructuring.With one of the largest dedicated real estate finance teams in the City, the team works closely with the firm’s specialists in corporate (general and private equity teams), tax, construction, environment and regulation and advise banks, alternative lenders, borrowers, investors, funds and developers across the real estate investment and development sectors.The team generates its own work, as well as supporting the firm’s transactional practices and in more ad hoc ways on general banking matters. The largest practice area within the team at the moment is real estate finance, with a growing market reputation for doing increasingly large and complex deals which used to be the preserve of the Magic/Silver circle firms.Main Responsibilities

  • Working with the Banking and Real Estate Finance team to offer support as needed
  • Performing legal and factual research tasks
  • Completing company searches and other banking due diligence tasks
  • Drafting corporate authorities and conditions precedent documentation as well as managing/assisting with managing condition precedent documentation
  • Drafting some simpler loan and security documents for bilateral/commoditised transactions
  • Filing security interests at Companies House and HM Land Registry – completion of forms and filing process
  • Monitoring receipt of and indexing hardcopy original documents and transaction bibles as required
  • Preparing reports and basic notes of advice (including property reports on title)
  • Transaction Management – including corresponding with other teams working on the transaction, the client, counterparties and third parties to progress transactions
  • Undertaking HM Land Registry and other searches
  • Working with other transactional teams on an ad-hoc basis as part of paralegal services.
