They have established their first Canadian office and are continuing their exponential growth.They are looking for a Corporate Attorney to join their legal team.Responsibilities:The Corporate Attorney will report functionally to the Head of Legal for Canada and hierarchically to the Head of General Coordination Americas in New York. Based in Montreal the Corporate Attorney will assist both (i) the NY legal department and other enterprise legal departments in reviewing and negotiating legal documentation and supporting internal projects and (ii) the Montreal office in the development of the franchise in Canada, including the Canadian services and IT companies. The successful candidate will have at least 7 years of experience in a combination of well-regarded Canadian or New York law firms and regulated financial institutions, with a focus on managing legal and regulatory risks.Main ResponsibilitiesTransversal:
– Support commercial and control functions in documenting vendor relationships, including office landlords, IT and other service providers
– Advise the bank as appropriate in connection with regulatory matters including securities, derivatives, data privacy and cyber risk
– Assist the Legal Department in its role as corporate secretary for the enterprise’s Canadian and NY subsidiaries
– Assist in the Legal Department reporting and initiatives, including cross-border surveys
– Provide timely management reporting, KPIs, and permanent control reports as required
– Represent the Legal Function in connection with special projects as necessary
– Effectively manage external counsel in connection with the foregoingTransactional:
– Support business lines inside and outside of Canada in structuring transactions in light of Canadian legal/regulatory constraints and policy requirements
– Review commercial finance transactions (e.g. trade finance, receivables/supply chain finance) booked in Canada
– Provide support, as necessary, to the Head of Commercial Finance Legal (based in NY) on cross border transactions with a Canadian nexus (e.g. Canadian transactions booked in NY)
– Draft, review and negotiate, in conjunction with the Head of Regional Coordination Americas, legal documentation related to the bank’s advisory activities in the Americas region, including M&A, Debt and ESG
– Effectively manage external counsel in connection with the foregoing
– Maintaining awareness of market changes and regulation, and the potential legal impact
– Providing legal input in approval process of new products or activities
– Involvement in projects regarding the development of legal documents and templates and new business initiatives.Legal and Regulatory Responsibilities:
– Provide ad hoc advice and updates on current developments to relevant legal terms, businesses or support functions
– Assist in drafting and updating templates and assist with the negotiation
– Maintain a thorough knowledge of relevant banking and financial services business (and its regulatory environment)
– Mandate and manage external law firms, as required and in accordance with applicable policies, in accordance with the activities within the scope of entreprise Canada
– Comply with all applicable legal, regulatory and internal compliance requirements as published
– Complete all mandatory training as required to attain and maintain competenceQualifications:– Postgraduate degree – MA/MSc/PhD/Doctorate or equivalent
– Qualified to practice law in Quebec, with other relevant Canadian federal and provincial qualifications
– Qualified to practice law in the State of New York (an asset)
– 7 years’ relevant experience
– Broad general legal experience in a variety of commercial contexts
– Excellent drafting skills and knowledge of current market standards/practices
– Strong background in sourcing/procurement and/or negotiation of complex IT and outsourcing contracts (an asset)
– Verbal and written communication skills in English and French required (You will need to service Anglophone clients and work with Anglophone colleagues)
– Excellent analytical skills
– Team player who leads by example
– Ability to function with limited supervision
