In this position, you will:

Advise public companies on reporting obligations and compliance with SEC regulations.

Counsel clients on capital markets transactions, including IPOs, secondary offerings, and debt transactions.

Provide strategic guidance on corporate governance issues, including board advisory work and shareholder relations.

Represent private companies in corporate formation, governance, and transactional matters.

Draft, review, and negotiate legal documents such as SEC filings, offering documents, and agreements.

Collaborate with multidisciplinary teams to deliver innovative solutions for corporate and securities matters.

Ideal Candidate Profile

Experience and Expertise

Years of Practice: Minimum of 3 years of experience in public company reporting, compliance, capital markets, and/or corporate governance.

Transactional Background: Strong familiarity with SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and registration statements.

Educational Credentials

Juris Doctor (JD): Degree from an accredited law school with excellent academic credentials.

Bar Membership: Active bar license in Oregon or eligibility to waive in.
