This position focuses on supporting the Board of Directors and its committees, managing governance-related programs, and ensuring compliance with regulatory requirements. The Manager, Governance, is a critical partner in ensuring Vancity’s governance framework aligns with best practices, serves its members effectively and high service standards are maintained for the Board of Directors. The role is also responsible for developing and overseeing performance of the Governance Officers across the team.This is a permanent, full-time role that will enjoy hybrid working arrangements which can be fulfilled primarily from the Vancity head office location and your Lower Mainland based home office. This role will require you to work in-office at least 3-4 days a week.A typical day would involve:Board and Committee Support

• Coordinate the preparation and distribution of board and committee meeting materials, ensuring accuracy and timeliness.
• Oversee the logistics of board and committee meetings, including scheduling, technology support, and record-keeping.
• Manage the preparation of detailed meeting minutes and action items, ensuring they meet regulatory and organizational standards.
• Support the execution of board elections and the Annual General Meeting (AGM), ensuring compliance with bylaws and applicable regulations.

Governance Programs and Policy Development

• Assist in the development and maintenance of board governance policies, charters, and frameworks.
• Monitor regulatory developments impacting governance and recommend updates to governance practices and policies.
• Support the onboarding and ongoing education of board members, ensuring they are informed of their fiduciary duties and governance responsibilities.
• Lead initiatives to enhance governance processes and practices, aligning with organizational strategy and best practices.

Regulatory Compliance and Reporting

• Ensure compliance with regulatory obligations related to governance, including filing requirements and reporting to oversight bodies.
• Maintain accurate and up-to-date governance records, including board resolutions, charters, and meeting documentation.
• Partner with the VP, Corporate Secretary, to address governance-related risk and compliance issues.

Leadership and Team Development

• Provide leadership and direction to the governance team, fostering a culture of collaboration, accountability, and continuous improvement.
• Develop team capabilities by identifying training and development opportunities.
• Ensure the effective delivery of governance services and support to the Board and executive leadership.

Cross-Functional Collaboration

• Work closely with legal, compliance, risk, and other internal teams to align governance practices with organizational priorities.
• Serve as a liaison between the governance team, the Board of Directors, and internal stakeholders.

You have:

• Bachelor’s degree in business administration, law, governance, or a related field.
• Many years of experience in governance, board administration, or compliance, preferably within the financial services or credit union sector.
• Proven experience managing board operations, including meeting coordination, policy development, and record-keeping.
• Management experience directly leading teams and indirectly influencing work.
• High level of professionalism, discretion, and sound judgment in handling sensitive governance matters.
• Other equivalent combination of education and experience may be considered.

Base pay offered may vary depending on factors such as relevant qualifications, skills, previous experience, and internal equity.
