Job Summary:
The Vice President of Legal Affairs- Litigation & Information Management is a key member of the legal department reporting directly to the Chief Legal Officer with responsibility for continuously monitoring and proactively mitigating litigation risk in all areas of the business, including through template agreements, privacy policies, terms and conditions and advertising compliance. This role will also implement and administer internal processes including around document retention, litigation holds and information management. In addition, this role will liaise with outside counsel on pre-litigation and litigation matters.
Responsibilities:
- Work cross-functionally to proactively mitigate the risk of litigation.
- In coordination with outside counsel, effectively manage, negotiate and resolve pre-litigation claims.
- In coordination with outside counsel, oversee active arbitrations and litigation to optimal outcome.
- Analyze and advise on discovery and e-discovery policies and procedures.
- Manage information and document retention policies and practices to comply with all applicable laws and evolving best practices.
- Perform contractual indemnity analyses.
- Continuously improve terms and conditions, privacy policy and marketing compliance policies and procedures.
- Develop training on litigation risk mitigation and maintenance of legal privilege.
- Manage service of process intake and issue litigation holds where appropriate.
- Prepare cease and desist letters.
- Perform legal research and draft legal memoranda.
- Provides strategic and proactive legal advice to business clients.
- Effectively communicates and manages business client expectations while adequately planning and organizing resources to keep pace with business demand and deadlines.
- Maintains deep understanding of business objectives, adequately sports important legal issues, clearly communicates risks and considerations for business input, and takes a commercial approach to risk mitigation.
- Assesses risk and uses sound business and legal judgment to make decisions, negotiate deals, and determine priorities to meet deadlines in a fast-paced environment.
- Inspires confidence in business clients by consistently providing well-reasoned legal advice and practical solutions to complex issues.

Qualifications:
- Juris Doctor Degree
- Minimum of five (5) years’ experience and legal expertise in assigned practice area
- Member of at least one U.S. state bar with ability to qualify for California in-house registration
- Proof of eligibility to work in the United States
- Ability to demonstrate and adhere to highest standards of ethics and integrity
- Substantive experience, knowledge and understanding of legal strategies and principles related to assigned practice area; ability to analyze and apply legal principles and precedents to legal issues; ability to perform legal research, evaluate alternatives and make sound recommendations.
- Excellent research and writing skills; ability to prepare clear, concise and complete legal documents, reports, correspondence and other communications materials on complex legal issues; ability to communicate effectively in English, in both written and oral forms; ability to make effective public presentations.
- Ability to exercise initiative, independent judgment, and work with discretion.
- Ability to deal effectively with all business contacts, including government agencies, and to establish and maintain effective working relationships with co-workers, internal clients, and external business partners
- Sound judgment and superior decision-making, multi-tasking and problem-solving skills; ability to meet prescribed deadlines
- Basic proficiency in MS Word, Excel, PowerPoint and MS Outlook
